KPP Law at the 12th Corporate Governance Conference

Corporate governance in public organisations and state-owned enterprises was the focus of KPP Law’s participation in the American-Hellenic Chamber of Commerce’s 12th Annual Corporate Governance Conference, held on 13 July 2026 at the Hotel Grande Bretagne in Athens.

George N. Kerameus, Partner at KPP Law and a member of the Chamber’s Corporate Governance Committee, co-moderated the panel “Corporate Governance in Public Organizations & State-Owned Enterprises: Are Improvements Being Made? What Developments Are Coming?” alongside Vasilis Monogios.

The session brought together Giorgos Pitsilis, Alexandra Rogkakou and Michalis Doumpos, combining perspectives from public administration, institutional oversight and academia.

The subject remains relevant to businesses and investors: clear accountability, effective oversight and transparent decision-making help build confidence in public institutions and the organisations they work with.

KPP Law also supported the conference as a sponsor.

Publications
KPP Law partners contribute to publication on tax information exchange

KPP Law partners George N. Kerameus, Stylianos Chr. Papademetriou and Konstantinos Miliarakis contribute to the collective volume Ανταλλαγή πληροφοριών στον τομέα της φορολογίας (Exchange of Information in Tax Matters), from Nomiki Bibliothiki. The Greek-language publication examines the domestic, EU and international framework for tax information exchange, with particular emphasis on the Directive on Administrative Cooperation (DAC).

The volume brings together contributions from 27 Greek tax law specialists, examining the legal and practical dimensions of cross-border cooperation between tax authorities.

KPP Law’s contributions

George N. Kerameus, together with Konstantinos Miliarakis, examines the implementation of the EU tax information exchange framework in Greece and the penalties for breaches of information exchange and disclosure obligations.

Stylianos Chr. Papademetriou, Head of Tax, together with Andreas Kouknis, examines information exchange systems outside the Directive on Administrative Cooperation.

These contributions address two complementary aspects of the subject: the operation and enforcement of the framework in Greece, and its relationship with mechanisms beyond the DAC. Chapter details are available in the publisher’s table of contents.

Tax information exchange and its relevance to business

For businesses with cross-border activities, tax information exchange raises practical questions about reporting obligations, the treatment of financial and transaction data, and the safeguards available to taxpayers.

The publication explores exchange mechanisms involving financial accounts, tax rulings, digital platforms and crypto-assets. It also considers penalties, taxpayer protections and the interaction between different systems of administrative cooperation.

For in-house legal teams, tax directors and financial executives, these topics are relevant to understanding how information moves between jurisdictions and how disclosure requirements relate to tax compliance and the protection of taxpayer rights.

The volume combines legal analysis with an examination of the regulatory and practical issues arising under the DAC and the related Greek framework.

Tax practice – Landmark Decision of Council of State No 320/2020 (pilot tax trial) concerning “tax compliance certificate”.

We successfully represented a leading Greek betting and gaming company before the Administrative Supreme Court (Council of State – “CoS”) at a model (“pilot”) tax trial, on which a landmark Decision under No. CoS 320/2020 was issued. The Court accepted our arguments and annulled the tax assessment acts.  In particular, it ruled that, for tax years 2011-2013 and as concerns the right of the Greek State to make a tax audit, article 82 (5) of Law 2238/1994 (former ITC) and the implementing Ministerial Decision (“MD”) Νο 1159/2011 provide for a valid settlement/closure of the relevant tax cases after a 18-month period, following the issuance of a “clear” tax certificate. Such a settlement is a valid tax regime in accordance with the Greek Constitution.

Tax practice – Annulment of stamp tax imposed to intra-group cash pooling agreement

We successfully represented before the Court of Appeal a Greek member-company of major automobile multinational group at a stamp duty tax dispute (Decision No 4661/2018). The Court annulled the tax assessment acts on the basis that the cash pooling agreement was both signed and executed abroad; therefore, no obligations were executable within Greek territory in order for the stamp duty to be due.

We successfully represented before the Court of Appeal a major football Societe Anonyme at a capital concentration tax (“CCT”) dispute of EUR 0,85 m (Decision No 2860/2018). The Court ruled that CCT is triggered by the decision of the Board of Directors certifying the payment of the capital increase and not by the decision of the GM resolving upon the increase.
